PARTNERSHIP DEED

This Deed of Partnership is made on August 16, 2025, at Delhi, India, BETWEEN:

1. Mr. Vikram Singh, residing at 123 Main Street, Delhi, India, hereinafter referred to as the First Party, AND

2. Ms. Neha Kapoor, residing at 456 Elm Street, Delhi, India, hereinafter referred to as the Second Party.

WHEREAS the parties wish to form a partnership firm under the name and style of “ABC Enterprises” at 789 Oak Street, Delhi, India, to carry on the business of retail trading.

NOW THIS DEED WITNESSES AS FOLLOWS:

1. Name and Address: The firm’s name shall be ABC Enterprises, with its principal place of business at 789 Oak Street, Delhi, India.

2. Nature of Business: The firm shall engage in retail trading of consumer goods.

3. Capital Contribution: The First Party shall contribute ₹5,00,000, and the Second Party shall contribute ₹3,00,000 to the firm’s capital.

4. Profit and Loss Sharing: Profits and losses shall be shared in the ratio of 60:40 between the First Party and Second Party, respectively.

5. Management: Both parties shall jointly manage the business, with decisions made by mutual consent.

6. Banking: The firm’s bank account shall be operated jointly by both parties at [Bank Name], Delhi Branch.

7. Duration: The partnership shall continue until mutually dissolved or as per the provisions of the Indian Partnership Act, 1932.

8. Dissolution: Upon dissolution, assets shall be distributed in proportion to capital contributions after settling liabilities.

9. Dispute Resolution: Any disputes shall be resolved through arbitration in Delhi, per the Arbitration and Conciliation Act, 1996.
